1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client") and LumenForge Studios ("we," "us," "our"). By accessing our website at lumenforge.studio or engaging any of our services, you acknowledge that you have read, understood, and agree to these Terms in their entirety.

If you are accessing our services on behalf of a company or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Services Description

LumenForge Studios provides AI-powered brand creation and digital design services, including but not limited to:

• Brand identity generation (logos, color systems, typography, brand guidelines)
• Website design and development
• Visual identity systems and design systems
• Marketing asset creation and automation
• Brand strategy consultation

All services involve a combination of AI-generated output and human designer refinement. The specific scope, deliverables, and timeline for each engagement are defined in the project proposal or statement of work provided prior to commencement.

3. Project Engagement & Proposals

3.1 Project Proposals

All projects begin with a written proposal outlining scope, deliverables, timeline, and pricing. Proposals are valid for 14 calendar days from the date of issue. Proposals are not binding contracts until countersigned by both parties or confirmed via written acceptance and deposit payment.

3.2 Project Brief

Clients are responsible for providing accurate, complete, and timely project information through our intake process. LumenForge Studios is not liable for output quality or delivery delays caused by incomplete, inaccurate, or late provision of required information.

4. Payment Terms

4.1 Fees & Invoicing

All fees are specified in the project proposal and denominated in USD unless otherwise agreed. Standard payment structure is 50% deposit upon project commencement and 50% upon delivery of final files.

4.2 Late Payments

Invoices are due within 14 days of issue. Late payments incur a 1.5% monthly interest charge on the outstanding balance. LumenForge Studios reserves the right to suspend project work and withhold deliverables pending receipt of overdue payment.

4.3 Refund Policy

Deposits are non-refundable once project work has commenced. If a project is cancelled by the Client after work has begun, payment for work completed to that date is due. Refunds for deliverables already provided are not available.

5. Intellectual Property & Ownership

5.1 Client Ownership

Upon receipt of full payment, the Client receives full ownership and all intellectual property rights to the final deliverables, including all source files, vector files, and documentation specified in the project scope.

5.2 Pre-Payment Rights

Until full payment is received, all deliverables remain the intellectual property of LumenForge Studios. Clients may not reproduce, distribute, or use any deliverables commercially until full payment has been confirmed.

5.3 AI-Generated Content

Where AI-generated content forms part of the deliverable, LumenForge Studios warrants that such content has been reviewed, refined, and made unique by our human design team prior to delivery. We make no warranties regarding the copyright status of underlying AI training data. Clients should seek independent legal counsel if they require warranties regarding AI content ownership.

5.4 Portfolio Rights

LumenForge Studios retains the right to display completed work in our portfolio, case studies, marketing materials, and award submissions unless otherwise agreed in writing prior to project commencement.

6. Revisions & Approvals

Each plan includes a specified number of revision rounds. A "revision round" is defined as one consolidated set of feedback provided in a single communication. Revisions beyond the included rounds are available at $150 per hour. Client approval at each stage is required before proceeding to subsequent phases. Approved stages cannot be revisited without additional fees.

7. Delivery Timelines

Delivery timelines are estimates unless expressly stated as guaranteed. LumenForge Studios will make commercially reasonable efforts to meet agreed timelines. We are not liable for delays caused by late Client feedback, delayed content provision, third-party service outages, or force majeure events.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the project engagement. This obligation survives termination of the engagement for a period of three (3) years. LumenForge Studios will not disclose your project details, business plans, or confidential information to third parties except as required by law.

9. Limitation of Liability

To the maximum extent permitted by applicable law, LumenForge Studios' total aggregate liability arising from or relating to these Terms or any project engagement shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.

LumenForge Studios is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, or business interruption.

10. Warranties & Disclaimers

LumenForge Studios warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. We do not warrant that deliverables will be free from all errors, or that brand elements are entirely unique or free from similarity to other marks in all jurisdictions. Clients are responsible for conducting their own trademark searches and obtaining legal clearance for brand elements prior to commercial use.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware.

12. Modifications

LumenForge Studios reserves the right to update these Terms at any time. Updated Terms will be posted on our website with a revised "Last Updated" date. Continued use of our services after such changes constitutes acceptance of the updated Terms.
